Welcome to magnanovae Ltd ("magnanovae," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website located at magnanovae.world and our coaching services provided by magnanovae Ltd, a company registered in Cyprus with registration number HE793851.

By accessing our website or engaging our coaching services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services. These Terms constitute a legally binding agreement between you and magnanovae.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes acceptance of the new Terms.

Description of Services

magnanovae provides premium coaching programmes and related services designed for professional development and personal growth. Our services include but are not limited to:

• Executive leadership coaching programmes
• Career acceleration coaching
• Personal development programmes
• One-to-one coaching sessions
• Group workshops and seminars
• Online resources and materials

All services are provided subject to availability and our acceptance of your application. We reserve the right to refuse service to any individual at our discretion.

User Obligations

By using our services, you agree to the following obligations and representations:

• You are at least 18 years of age and have the legal capacity to enter into this agreement
• You will provide accurate and complete information when requested
• You will maintain the confidentiality of any login credentials
• You will not use our services for any unlawful or prohibited purpose
• You will respect the intellectual property rights of magnanovae and third parties
• You will attend scheduled coaching sessions punctually and prepared
• You will engage in coaching activities in good faith and with genuine intent to benefit from the services

You are responsible for all activities that occur under your account and for maintaining the security of your account information.

Payment Terms

Payment terms for our coaching services are as follows:

• All fees must be paid in accordance with the agreed payment schedule
• Payments are due in advance unless otherwise agreed in writing
• Late payments may result in suspension of services and additional fees
• All prices are quoted in Euros (EUR) and include applicable taxes where required
• Payment methods accepted include bank transfer and other methods as specified

Refund policies are outlined in your specific coaching agreement and may vary depending on the programme and circumstances.

Intellectual Property

All content, materials, and intellectual property provided by magnanovae, including but not limited to coaching methodologies, written materials, presentations, software, and proprietary techniques, are the exclusive property of magnanovae and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our materials solely for your personal coaching purposes. You may not:

• Reproduce, distribute, or share our proprietary materials without written consent
• Use our materials for commercial purposes or to compete with magnanovae
• Reverse engineer, modify, or create derivative works from our materials
• Remove or alter any copyright or proprietary notices

The magnanovae name, logo, and all related trademarks are the property of magnanovae Ltd and may not be used without express written permission.

Confidentiality

magnanovae acknowledges that coaching relationships involve the sharing of confidential and personal information. We are committed to maintaining the confidentiality of all client information shared during coaching sessions, subject to the following exceptions:

• Information that you expressly authorise us to disclose
• Information required to be disclosed by law or court order
• Information necessary to prevent imminent harm to yourself or others
• Information necessary to defend our legal rights

You also agree to maintain confidentiality regarding our proprietary coaching methods, techniques, and any confidential business information disclosed to you.

Limitation of Liability

To the fullest extent permitted by law, magnanovae and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to your use of our services.

Our total liability for any claims arising from or relating to these Terms or our services shall not exceed the total amount paid by you to magnanovae in the twelve months preceding the claim.

magnanovae makes no warranties or representations about the effectiveness of coaching services for any particular individual. Results may vary, and we cannot guarantee specific outcomes or achievements.

Some jurisdictions do not allow the limitation of liability for certain types of damages, so the above limitations may not apply to you in their entirety.

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. magnanovae disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that our services will be uninterrupted, error-free, or completely secure
• Warranties regarding the accuracy, reliability, or completeness of any information

Coaching services are not a substitute for professional medical, legal, or financial advice. You should consult appropriate professionals for such matters.

Cancellation and Rescheduling

Specific cancellation and rescheduling policies will be outlined in your coaching agreement. Generally:

• Sessions must be cancelled or rescheduled with at least 24 hours notice
• Late cancellations or no-shows may result in forfeiture of the session
• Programme cancellations are subject to the terms of your specific agreement
• Refunds, if applicable, will be processed according to the agreed terms

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.

If you are a consumer residing in the European Union, you may also have rights under your local consumer protection laws, and nothing in these Terms affects those rights.

Termination

Either party may terminate the coaching relationship at any time with appropriate notice as specified in the coaching agreement. magnanovae reserves the right to terminate services immediately in the following circumstances:

• Breach of these Terms or any coaching agreement
• Non-payment of fees
• Inappropriate or disruptive behaviour
• Misuse of our services or materials

Upon termination, your access to our services and materials will cease, and you must return or destroy any proprietary materials in your possession.

General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of that provision.

These Terms, together with any coaching agreement you enter into, constitute the entire agreement between you and magnanovae regarding the subject matter herein and supersede all prior agreements and understandings.

You may not assign or transfer your rights under these Terms without our written consent. magnanovae may assign its rights and obligations under these Terms without restriction.
